①激勵(lì)對(duì)象職務(wù)發(fā)生變更，但仍為擔(dān)任公司行政職務(wù)的董事、其他高級(jí)管理人員或員工，其已獲授的股票期權(quán)不做變更。但是激勵(lì)對(duì)象因不能勝任崗位、考核不合格、觸犯法律、違反職業(yè)道德、泄露公司機(jī)密、失職或法職華行為嚴(yán)重?fù)p害公司利益或聲譽(yù)而導(dǎo)致的職務(wù)變更，經(jīng)公司董事會(huì)薪酬與考核表員會(huì)批準(zhǔn)并報(bào)公司董事會(huì)備案，可以取消激勵(lì)對(duì)象尚未行權(quán)的股票期權(quán)。

① The position of the incentive object has changed, but the directors, other senior managers or employees who still hold the administrative position of the company will not change their granted stock options. However, if the incentive object is incompetent for the position, fails in the assessment, violates the law, violates professional ethics, divulges company secrets, neglects his duty or seriously damages the interests or reputation of the company due to his/her behavior, the stock options that have not been exercised by the incentive object can be cancelled after the approval of the compensation and assessment committee of the board of directors of the company and the report to the board of directors for filing.

②山東股權(quán)激勵(lì)實(shí)施時(shí)，激勵(lì)對(duì)象成為獨(dú)立董事、監(jiān)事或其他不能持有公司股票或股票期權(quán)的人員，則應(yīng)取消其所有尚未行權(quán)的股票期權(quán)。

③ If the incentive object is dismissed by the company due to violation of the law, violation of professional ethics, disclosure of company secrets, dereliction of duty or dereliction of duty and other acts that seriously damage the company's interests or reputation, all unexercised stock options will be cancelled from the date of resignation.

④激勵(lì)對(duì)象因執(zhí)行職務(wù)負(fù)傷而導(dǎo)致喪失勞動(dòng)能力的，其所獲授的股票期權(quán)不做變更，仍可按規(guī)定行權(quán)。

④ If the incentive object loses the ability to work due to his/her injury in performing his/her duties, the stock options granted to him/her will not be changed, and he/she can still exercise the rights according to the regulations.

⑤激勵(lì)對(duì)象自離職之日起所有未行權(quán)的股票期權(quán)即被取消。激勵(lì)對(duì)象在.后一次行權(quán)之日起2年內(nèi)離職的，須將其因?qū)嵤┍敬喂蓹?quán)激勵(lì)計(jì)劃所得的全部收益返還公司，經(jīng)公司董事會(huì)薪酬與考核委員會(huì)批準(zhǔn)不收回收益的激勵(lì)對(duì)象除外。激勵(lì)對(duì)象在后一次行權(quán)之日起2年后離職的，若因發(fā)生泄露公司商業(yè)機(jī)密等不當(dāng)行為的，公司董事會(huì)薪酬與考核委員會(huì)有權(quán)要求其返還其因?qū)嵤┍敬喂蓹?quán)激勵(lì)計(jì)劃所得的全部收益，包括轉(zhuǎn)讓行權(quán)所得標(biāo)的股票所獲收益。

⑤ All unexercised stock options of the incentive object will be cancelled from the date of resignation. If the incentive object resigns within 2 years from the date of the next exercise of the right, he/she shall return all the income from the implementation of the equity incentive plan to the company, except for the incentive object who does not recover the income after the approval of the compensation and appraisal committee of the board of directors of the company. If the incentive object resigns after two years from the date of the next exercise of the right, and due to the disclosure of the company's trade secrets and other improper acts, the compensation and evaluation committee of the board of directors of the company has the right to require it to return all the income it has received from the implementation of the equity incentive plan, including the income from the transfer of the underlying stock of the exercise.

⑥激勵(lì)對(duì)象因達(dá)到國(guó)家和公司規(guī)定的退休年齡退休而離職的，其所獲授的股票期權(quán)不做變更，仍可按規(guī)定行權(quán)。

⑥ If the incentive object retires due to reaching the retirement age specified by the state and the company, the stock options granted to it will not be changed, but can still be exercised according to the regulations.

⑦激勵(lì)對(duì)象死亡的，自死亡之日起所有未行權(quán)的股票期權(quán)即被取消。但激勵(lì)對(duì)象因履行職務(wù)死亡的，公司有權(quán)視情況根據(jù)激勵(lì)對(duì)象被取消的股票期權(quán)價(jià)值對(duì)激勵(lì)對(duì)象進(jìn)行合理補(bǔ)償，由其繼承人繼承。

⑦ If the incentive object dies, all unexercised stock options will be cancelled from the date of death. However, if the incentive object dies due to the performance of duties, the company has the right to make reasonable compensation to the incentive object according to the value of the canceled stock option of the incentive object, and the successor shall inherit it.
